CONFIDENTIALITY
AGREEMENT
This
Confidentiality Agreement (the “Agreement”) is made and entered into
this ______________
day of
_________________ 2008, by and between CardPATH Ltd, (CardPATH) and
( ................................. ).
The parties agree
as follows:
1. “Confidential
Information” shall mean all non-public information relating to both
CardPATH and ???? including but not limited to business plans and
information pertaining to the brokerage service that CardPATH provide,
this may include but is not limited to any information held by CardPATH
on behalf of “Registered companies”, such as financial information,
statistical information, data, costs and prices, trade secrets,
processes, concepts, ideas, designs, manuals, photographs, drawings,
films, visual and sound recordings, manufacturing line set-up and
configuration, software programs, electronic media or know-how, whether
written, computer accessible, oral or tangible.
2. Confidential
Information does not include:
a. Information that
was published, or was otherwise in the public domain prior to this
agreement.
b. Information
that later becomes parts of the public domain through publication or
otherwise through no unauthorised act or omission by either company.
3. Except as
authorised by the opposite part, neither CardPATH nor
..............................??? will:
a. Disclose in any
manner (including without limitation through patent or copyright
applications), any of either company’s Confidential Information to
others except pursuant to paragraph 4 below:
b. Use either
Company’s Confidential Information for the purposes of a third party.
c. Make photocopy,
reproduce, or disclose in any way any written document or other tangible
items containing either Company’s Confidential Information.
4. Both companies
will use either Company’s Confidential Information only for the purposes
to which either Company consents in writing, and may not use the
Confidential Information, directly or indirectly for any other purpose.
5. All
Confidential Information (including all copies and reproductions thereof
in any medium) disclosed to either Company, shall remain the property of
the opposite party and shall promptly return such Confidential
Information upon either party’s
request.
6. The
restrictions and obligations of this Agreement shall survive any
expiration or termination of any negotiations or agreements between the
parties.
7. This agreement
grants no rights or licences, either expressly or by implication, to
either Company’s Confidential Information.
8.
Each term of provision of this Agreement shall be considered
severable. If any part of this Agreement is held to be void or
unenforceable, the remaining terms and provisions shall remain valid and
enforceable.
9. By entering
into this Agreement, neither party is committing to enter into a future
business relationship or contract with the other. This Agreement
governs only the exchange of Confidential Information between them.
The parties hereto
execute this Confidentiality Agreement as of the date first written
above.
